The fifth edition of the publication "Interpretation of Contracts. Standard Contract Clauses. A Practical Commentary with Case Law and Examples. Model Contracts" - one of the most highly regarded studies of civil law contract law.
The publication combines a practical approach to contract interpretation with current case law, the doctrine acquis and legislative developments. The study is not only a commentary on the most commonly used clauses in business dealings, but also contains numerous examples and templates, providing real support in the daily work of lawyers.
Among the co-authors was Barbara Jelonek-Jarco, PhD, a partner at KKG Legal, who authored the sections on mediation clauses and earn-out and claw-back clauses.
She pays special attention to the mediation clause - a solution that still rarely appears in practice, but can play an important role in the rapid and constructive resolution of disputes. Including it in the contract from the beginning often opens the way for talks and negotiations before it becomes necessary to take the matter to court.
